ROLE:  

The Company Secretary provides a link between the company and its Board of Directors, shareholders, government and regulatory authorities and all other company stakeholders.  The Company Secretary will be responsible for the effective and independent management of corporate compliances under the Companies Act of 2013 and Secretarial Standards and report to the board. The Candidate will ensure that Board procedures are followed and regularly reviewed and will provide guidance to the Chairman and the Directors on their responsibilities under applicable Indian laws and regulations.  

This candidate will work closely with the Finance and Legal Teams and will interact frequent with executive management and the Board of Directors.

RESPONSIBILITIES:

  • The implementation of a well-defined and standardized compliance and good governance practice under applicable Indian laws and regulations. 
  • Event-based and time-based compliance with the Companies Act, 2013 and compliances with the Secretarial Standards as issued by the Institute of Company Secretaries of India. 
  • The timely preparation of the Agenda and Minutes for all Executive Committee meetings, Board Meetings, Audit Committee Meetings, the Annual General Meetings and Extra Ordinary General Meetings.
  • The coordination of all board and general meetings and related follow-up actions thereof.
  • Preparation of all ROC related forms and the timely filing of the same with the Ministry of Corporate Affairs. 
  • The preparation, maintenance and update of legal registers and records per the Companies Act, 2013
  • The preparation, maintenance and update of all communications and documentations relating to shares with the company shareholders including all registrations, transfers and transmissions. 
  • Acting as the custodian of all corporate records, Board minutes and resolutions, statutory books and registers.
  • Regular communication with various company stakeholders, Board of Directors and shareholders. 

REQUIREMENTS:

  • Qualified member of the Institute of Company Secretaries of India (ACS)
  • Post Graduate Degree – Legal Degree is desirable but not essential. However, someone with an LLB Degree would be given added preference.
  • Minimum eight (8) years of experience is required in corporate secretarial and compliance functions in a mid-to-large size organization.
  • Must have experience in working as a Company Secretary, not just someone who works for the Company Secretary.
  • Strong Academic credentials.
  • Experience and comfort working in an individual contributor role.
  • Excellent writing and communication skills are essential.
  • Experience with working in an international environment is desirable.
  • Experience with working with media and entertainment sector is desirable.
